Security Purchase Plan
Charter Hall WALE Limited (“Responsible Entity”), as responsible entity of the trusts that comprise the Charter Hall Long WALE REIT (ASX:CLW) (“CLW” or the “REIT”) confirms the completion of the Security Purchase Plan (“SPP”) announced to the Australian Securities Exchange on 5 June 2019 in connection with CLW’s $190 million institutional placement (“Institutional Placement”).
The REIT received a total of $28,165,268 of eligible applications, in excess of the $10 million SPP. In light of this demand, the Board of the Responsible Entity has utilised its discretion to increase the size of the SPP from $10,000,000 to $10,974,736, being the maximum amount that CLW can raise under its 15% placement capacity limit in accordance with ASX Listing Rule 7.1. Applications have subsequently been scaled back in accordance with the rules of the SPP Offer Booklet released 13 June 2019.
2,350,554 new securities (“New Securities”) will be issued to eligible applicants on Thursday, 11 July 2019 at an issue price of $4.669 per security (“Issue Price”). The Issue Price is the price paid by institutional investors under the Institutional Placement adjusted for the 30 June 2019 distribution of $0.071 per security. The New Securities will rank equally with existing fully paid securities and will carry the same voting rights and entitlements to receive distributions.
Holding statements will be issued to eligible applicants on Friday, 12 July 2019
