EGM Update – ASX Waiver Received

Charter Hall Group (ASX:CHC) (Charter Hall or the Group) today announces that ASX has granted it a waiver from Listing Rule 14.7 to permit the Group not to comply with the voting exclusion statement in the Notice of EGM dated 22 May 2017 to ratify the issue of 50,182,482 stapled securities under the May institutional placement (Issue).

The effect of the waiver is that votes of security holders who participated in the Issue may be counted, if and to the extent only that those holders (the Nominee Holders) are acting solely in a nominee, trustee, custodial or other fiduciary capacity on behalf of beneficiaries who did not participate in the Issue, on the following conditions:

  • The beneficiaries provide written confirmation to the Nominee Holders that they did not participate in the Issue, nor are they an associate of a person who participated in the Issue.
  • The beneficiaries direct the Nominee Holders to vote for or against the Resolution.
  • The Nominee Holders do not exercise discretion in casting a vote on behalf of the beneficiaries.
  • These terms are released to the market.
